WS Insights Website and Platform Terms of Use

1. What is in these terms 

These terms of use set out the rules for using: 

● our WS Insights webpages at https://williamsstanley.co/ws-insights/ 

● any WS Insights reporting environment, dashboards and tools that we make available to you through a browser or email, including WS Executive Finance Pack and WS Daily Dish 

● any associated services that reference these terms 

Together we call these the Services. 

2. Who we are and how to contact us 

The Services are operated by Williams Stanley & Co Limited (Williams Stanley, we, us, our). 

Williams Stanley & Co Limited is: 

● registered in England and Wales under company number 05860058 

● registered office: The Yard, Halecat, Witherslack, Grange over Sands, Cumbria, LA11 6RT, United Kingdom

3. By using the Services you accept these terms 

By accessing or using any part of the Services you confirm that: 

● you accept these terms, and 

● you agree to comply with them. 

If you do not agree, you must not use the Services. 

We recommend that you download or print a copy of these terms for your records. 

4. Other terms that may apply 

These terms sit alongside the following additional terms: 

● our Privacy Policy, which explains how we use personal data 

● our Cookie Policy, which describes how we use cookies and similar technologies 

● if you or your organisation purchase a paid subscription to WS Insights, any subscription agreement or service order and the related WS Insights Service Terms and Conditions agreed with you 

Where there is any conflict between these Terms of Use and your signed WS Insights Service Terms and Conditions, the signed service terms will usually take priority in relation to the paid subscription. 

5. We may change these terms 

We may update these terms from time to time. The updated version will apply from the date we post it on our website. 

You should check this page each time you use the Services so that you are aware of the terms that apply at that time. 

6. We may change or suspend the Services 

We may update and improve the Services, for example to: 

● add or remove features 

● reflect changes in our products or technology 

● respond to customer needs or business priorities 

● comply with law or regulatory guidance 

We do not guarantee that the Services, or any content on them, will always be available or be uninterrupted. 

We may suspend, withdraw, restrict or disable access to all or any part of the Services at any time, in particular where: 

● we are carrying out planned or emergency maintenance 

● we believe there is a security or misuse issue 

● your organisation’s subscription has ended, or charges are unpaid 

● you have breached these terms 

Where reasonably possible, we will try to give notice of any significant suspension or withdrawal. 

You are responsible for making all arrangements necessary for you to access the Services and for ensuring that anyone who accesses the Services through your internet connection and credentials is aware of these terms and complies with them. 

7. Who the Services are for 

WS Insights is designed primarily for business users in the hospitality sector, in particular multi site operators. 

The Services are directed at users in the United Kingdom, but may be accessible from other locations. We do not guarantee that the Services or any content are appropriate or available for use in any particular country. You are responsible for complying with local laws that apply to you. 

If you are a consumer and you use the public parts of our website, additional rights may apply to you under consumer law. These are not affected by these terms. 

8. Your WS Insights account and security 

Some parts of the Services require you to log in using an account provided by us or by your organisation. 

You must: 

● keep your login details, passwords and any multi factor authentication information confidential 

● not share your account details with any other person 

● ensure that your access is disabled promptly if you leave the employer or client organisation that gave you access 

We have the right to suspend or disable any account at any time if we reasonably believe that: 

● the account has been compromised 

● there has been or may be a breach of these terms 

● your organisation’s subscription has ended or should be suspended 

If you know or suspect that anyone other than you knows your login details, you must tell us promptly at info@williamsstanley.co 

9. How you may use material on the Services 

We or our licensors own all intellectual property rights in: 

● the WS Insights platform 

● all dashboards, templates and reports provided through WS Insights 

● any documentation, marketing content and support materials on our website 

Those works are protected by copyright and other intellectual property laws and treaties around the world. All rights are reserved. 

Subject to your organisation’s subscription terms and to these terms of use, you may: 

● access and use WS Insights to view and analyse your organisation’s data, and 

● download or export reports or screenshots from WS Insights for internal business purposes 

You must not, without our prior written consent: 

● copy, reproduce, distribute or publish any part of the Services, except as allowed in your subscription agreement 

● modify any materials you download or print, or use any graphics, charts, screenshots or images separately from accompanying text or legends 

● remove any copyright, trade mark or other proprietary notices 

● use any part of the content for commercial purposes other than for the internal business use of the organisation that holds the relevant subscription 

If you print, copy, download, share or repost any part of the Services in breach of these terms, your right to use the Services will cease immediately and you must, at our option, return or destroy any copies you have made. 

10. Your data and third party systems 

WS Insights connects to your finance and data systems, for example Xero, NetSuite and other platforms, and processes datasets that you or your organisation supply. 

You are responsible for: 

● ensuring that you have the right to connect those systems to WS Insights 

● the accuracy, completeness and legality of the data you provide to us 

● configuring your own settings, including budgets, cost centres and any mapping or classification rules in WS Insights 

We are not responsible for: 

● the availability, performance or accuracy of any third party service or system that you choose to integrate with WS Insights 

● any interruption or error caused by a failure in those third party systems or connections 

Additional data protection terms may apply to our processing of personal data on your behalf, as set out in our WS Insights Service Terms and Conditions and our Privacy Policy. 

11. Prohibited use, text and data mining, and scraping 

You must not use the Services: 

● in any unlawful way, or in any way that breaches these terms 

● to infringe the rights of any other person or organisation 

● to upload or transmit any material that is defamatory, obscene, offensive, discriminatory or otherwise objectionable 

● to attempt to gain unauthorised access to any part of the Services, our systems or the systems of our suppliers 

You must not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to any part of the Services or any data made available through them. This includes use of: 

● robots, bots, spiders, scrapers or similar automated tools 

● any automated analytics processes designed to collect or harvest data, including for building or training models, datasets or products that compete with WS Insights 

This restriction does not apply to the extent we are not permitted to exclude or limit text or data mining by contract under applicable law. 

12. Do not rely on information on the website 

Content on the public WS Insights pages of our website is provided for general information only. It describes our services and gives high level insights into financial and operational topics in the hospitality sector. It is not intended to be: 

● accounting, tax, legal, investment, or other professional advice 

● a substitute for tailored advice that considers your specific circumstances 

Although we make reasonable efforts to update the information, we make no representations, warranties or guarantees that it is accurate, complete or up to date. 

You should obtain professional or specialist advice before taking, or refraining from, any action based on content from the Services. 

13. User generated content and acceptable use 

Some parts of WS Insights, such as Daily Dish reports and site level commentary fields, allow users to input and store commentary and other information. 

Where you upload, input or share any content through WS Insights: 

● you confirm that the content is accurate to the best of your knowledge 

● you confirm that you have authority to share it 

● you must ensure that it does not contain any personal data that your organisation is not entitled to share with us 

You remain responsible for any content you or your organisation upload. We do not routinely monitor user content. Views expressed by other users do not represent our views or values. 

We may remove content or suspend access where we reasonably believe it breaches these terms or any applicable law.

14. Links to other websites and services 

Our Services may include links to: 

● third party websites 

● app marketplaces or integration partners 

● external resources such as Google reviews or other data sources 

These links are provided for information only. They should not be interpreted as our approval of those websites or services or of any information you obtain from them. 

We have no control over the content, availability or security of third party sites and services. 

15. Our responsibility for loss or damage 

15.1 We do not exclude liability where it would be unlawful 

Nothing in these terms excludes or limits our liability for: 

● death or personal injury caused by our negligence 

● fraud or fraudulent misrepresentation 

● any other liability that cannot be excluded or limited under applicable law 

15.2 If you are a business user 

If you use WS Insights or our website for business purposes: 

● all implied conditions, warranties and other terms that might otherwise be implied by statute or common law are excluded to the fullest extent permitted by law 

● we will not be liable for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty or otherwise, even if foreseeable, arising out of or in connection with: ○ use of, or inability to use, the Services 

○ use of or reliance on any content displayed on the Services 

● in particular, we will not be liable for: 

○ loss of profits, sales, business or revenue 

○ business interruption 

○ loss of anticipated savings 

○ loss of data or corruption of data that is not solely caused by our systems 

○ loss of business opportunity, goodwill or reputation 

○ any indirect or consequential loss or damage 

Where you have a paid subscription agreement with us, any financial limits or specific exclusions and remedies set out in that agreement will apply in addition to the above. 

15.3 If you are a consumer user of the public website 

If you use our public website as a consumer, we only provide the website for domestic and private use. You agree not to use it for any commercial or business purpose. 

We are not liable to you for any loss of profit, loss of business, business interruption or loss of business opportunity. 

If defective digital content that we have supplied damages your device or digital content and this is caused by our failure to use reasonable care and skill, we will either repair the damage or pay you compensation. We will not be liable for damage that you could have avoided by following our advice to apply an update, or for damage caused by your failure to follow installation instructions or to meet minimum system requirements. 

16. How we use your personal information 

We will only use personal information about you: 

● as set out in our Privacy Policy, and 

● where applicable, in any data processing terms included in our WS Insights Service Terms and Conditions or other agreements with your organisation 

Please review our Privacy Policy carefully, as it explains what personal data we collect, how we use it, and your rights. 

17. Viruses, security and misuse 

We do not guarantee that the Services will be secure or free from bugs or viruses. 

You are responsible for configuring your devices, software and platforms to access the Services and for using your own virus protection and security measures. 

You must not: 

● misuse the Services by knowingly introducing viruses, trojans, worms, logic bombs or other malicious or technologically harmful material 

● attempt to gain unauthorised access to the Services, the servers on which they are hosted or any connected systems 

● attack the Services via a denial of service or distributed denial of service attack 

We may report suspected criminal misuse to law enforcement authorities and cooperate with them by disclosing your identity and any relevant information, where we are legally permitted to do so. 

18. Linking to our website 

You may link to the public WS Insights pages or our website home page, provided that: 

● you do so in a way that is fair and legal 

● you do not damage our reputation or take unfair advantage of it 

● you do not suggest any form of association, approval or endorsement on our part where none exists 

You must not: 

● frame any part of our website on another site 

● create a link from any website that you do not own 

We may withdraw linking permission at any time without notice.

19. Which laws apply and where you may bring claims 

If you are a business user, these terms, their subject matter and their formation, and any non contractual disputes or claims, are governed by the laws of England and Wales. You and we both agree that the courts of England and Wales will have exclusive jurisdiction. 

If you are a consumer, these terms are governed by English law, and you can bring legal proceedings in the courts of England and Wales. If you live in Scotland you can bring legal proceedings in respect of the Services in either the Scottish or the English courts. If you live in Northern Ireland you can bring legal proceedings in respect of the Services in either the Northern Irish or the English courts. 

20. Trade marks and branding 

WS Insights and Williams Stanley & Co are trading names of Williams Stanley & Co Limited. 

You are not permitted to use our trade names, logos or other branding without our prior written approval, except where this is allowed under these terms or any separate written agreement with us
